NEW COLORADO RA REQUIREMENTS: WHAT HB24-1137 MEANS FOR YOU AND YOUR CLIENTS

The Colorado Secretary of State is implementing new requirements around individual Registered Agents (Non-Commercial Registered Agents). CO HB 24-1137 goes into effect on July 1st, 2025, as a way to combat fraudulent filings. This new law requires any individual (not a business entity) naming themselves or any other individual as the Registered Agent on any filing document or Periodic Report, MUST provide a valid Colorado driver’s license, state identification card, or otherwise verify the individual’s Colorado residence. In addition to new individual registered agent requirements, HB24-1137 will require entities serving as registered agent be registered and in good standing with the Colorado Secretary of State. Also note that a Registered Agent is prohibited from using a commercial post office box as the Registered Agent’s street address!
