CORPORATE COURSE 1
This course provides a comprehensive overview of the corporate world, focusing on corporate governance compliance and the structure of various business entities. You’ll gain a solid understanding of the legal and operational aspects of corporations, LLCs, and partnerships, as well as the steps necessary to establish and maintain compliance. The course is divided into six key sections:

Industry Background: History, Best Practices and Liability
This course should be an integral part of each employee’s orientation; as it serves to provide the students with a general understanding of the public records research industry, particularly as it pertains to the services provided by NPRRA member companies. Upon successful completion, students will leave this course with:
- Knowledge of what constitutes a public record, document types, storage and access variables
- An ability to distinguish personal property from real property
- A working understanding of many state and federal regulations, along with NPRRA’s ‘best practices’ recommendations designed to help companies remain compliant with these government directives
- An understanding of certain potential liabilities and how to avoid them, with particular focus on the unauthorized practice of law; these concepts are essential yet not easily instilled in those new to the industry
- A good, functional understanding of the industry, why it is here, who it serves and the primary services provided
- The ability to better serve the NPRRA member company with which they are employed and its clients
Registered Agent Service
From the basics of registered agent service provision to the complexities of dealing with odd situations where the stakes may be high for the client as well as the agent, the Registered Agent Service course shows where a service that may seem simple to the casual observer actually requires astute service providers who know there is a great deal to consider when making sure this service is performed correctly and in a manner that keeps liability exposure for all parties involved in check. Introduction to the Uniform Commercial Code
Introduction to the Uniform Commercial Code provides a comprehensive introduction to UCC filings, searches, and the foundational principles of Article 9. Participants will gain an understanding of how UCC records function within secured transactions, the role filing offices play in maintaining public notice records, and the importance of accuracy in both filing and searching processes. The course is designed to build a strong foundation for professionals working with UCC filings, lien searches, due diligence projects, and commercial transaction support. Throughout the course, participants will explore the history and purpose of the UCC, review the different types of UCC records and amendments, and learn how filing effectiveness and lapse periods impact secured interests. The course will also cover the fundamentals of preparing and submitting filings, including debtor name requirements, collateral descriptions, filing jurisdictions, and common rejection reasons. In addition, participants will be introduced to the basics of UCC searching, including standard search logic principles, interpreting search results, and understanding certified versus uncertified searches.
